Role Purpose

To lead the legal and corporate governance function of MJF Holdings and its group companies by providing strategic legal direction, ensuring robust governance frameworks, safeguarding intellectual property, and mitigating legal and regulatory risks across all jurisdictions of operation.

The role will oversee all legal, company secretarial, compliance, and litigation matters, while driving legal excellence through strong systems, processes, and team leadership.

Key Responsibilities

· Serve as the principal legal advisor to the Board, CEO, and senior leadership, providing commercially sound and strategic legal guidance.

· Lead and implement the Group’s legal strategy in alignment with business objectives and international operations.

· Oversee corporate governance and Company Secretarial functions, ensuring compliance with statutory and regulatory requirements across all entities.

· Establish and supervise robust contract management frameworks while advising on high-value and complex agreements.

· Define and manage litigation strategy, working closely with external counsel to achieve favorable and cost-effective outcomes.

· Ensure full compliance with applicable laws and regulations across all jurisdictions in which the Group operates.

· Oversee the protection and management of the Group’s intellectual property portfolio, including trademarks and brand assets.

· Drive legal risk management by identifying, assessing, and mitigating potential legal exposures across the business.

· Strengthen legal systems, processes, and cost efficiencies within the function.

· Lead, mentor, and develop the legal team while maintaining overall strategic oversight of the function.

Qualifications & Experience

· Attorney-at-Law qualification in Sri Lanka (mandatory)

· LLB required; LLM or equivalent postgraduate qualification preferred

· Minimum 15+ years of experience, with at least 8+ years in a senior leadership role

· Strong experience in corporate, commercial, and regulatory law

· Experience in a diversified conglomerate, FMCG, plantations, or export-oriented business is highly advantageous

· Exposure to cross-border legal matters and multi-jurisdictional operations
