Responsibilities:

• Provide legal support on mergers, acquisitions, and corporate restructuring transactions
• Conduct legal due diligence, identify risks, and provide actionable recommendations
• Draft, review, and negotiate a wide range of agreements, including:
• Share Purchase Agreements (SPA)
• Shareholders’ Agreements (SHA)
• Joint Venture Agreements
• NDAs and commercial contracts
• Coordinate with external counsel, financial advisors, and internal stakeholders throughout transaction lifecycles
• Ensure compliance with local and international corporate laws, regulatory requirements, and governance standards
• Support post-merger integration activities from a legal and compliance perspective
• Advise internal teams on corporate structuring, risk mitigation, and legal implications of business decisions
• Maintain and update corporate records, statutory filings, and documentation
• Monitor regulatory changes and assess the impact on business operations

Requirements:

• Bachelor’s Degree in Law (LLB);
• 3–5 years of experience in corporate law, with strong exposure to M&A transactions
• Proven experience in handling end-to-end M&A deals, including due diligence and contract negotiation
• Strong understanding of corporate governance, regulatory frameworks, and compliance requirements
• Experience working with cross-functional teams in a fast-paced environment
• Excellent drafting, analytical, and negotiation skills
• High attention to detail with strong organizational capabilities
• Ability to manage multiple transactions and deadlines simultaneously
• Strong interpersonal and stakeholder management skills

This requirement is for a three (3) months contract period. During this period, the individual will be engaged under a fixed-term contract, commencing from the agreed start date and concluding at the end of the three-month term, unless extended or terminated earlier by mutual agreement.
